Invitation for "Expression of Interest (EOI) "For appointing Advisor for sale of Cooperative Sugar Mills at Budhlada (District Mansa), Jagraon (District Ludhiana) and Zira (District Ferozepur) of Punjab.

On behalf of Liquidators of Cooperative Sugar Mills, Directorate of Disinvestment, Punjab desires to appoint a Global Advisor for valuation and sale of their assets situated at Budhlada Distt. Mansa, Jagraon District Ludhiana and Zira District Ferozepur. The Advisor will assist the Liquidators in disposing off the assets of the Mills in accordance with the State Government policy and as per the methodology approved by the State level High Power Committee. Details of these Cooperative Sugar Mills and detailed terms of reference are available at our official website www.pubjabgovt.nic.in/government.htm. EOIs are invited in sealed cover by close of business hours on 16.09.2005

Appointment of a Global Advisor for valuation and sale of assets of Cooperative Sugar Mills at Budhlada Distt. Mansa, Jagraon District Ludhiana and Zira District Ferozepur (Under liquidation)

  1. These Cooperative Sugar Mills Ltd, are situated in the State of Punjab and were commissioned & brought under liquidation as per detail given below :-

  2. In case of these Cooperative Sugar Mills, the book value of the assets of these Cooperative Sugar Mills is as under :-

  3. The Hon’ble Punjab & Haryana High Court in CWP 12585 of 2000 decided that assets of the Cooperative Sugar Mills be disposed off through the open auction. Now the Liquidators of these Cooperative Sugar Mills want to dispose-off the assets of the Mills at Budhlada Distt. Mansa, Jagraon District Ludhiana and Zira District Ferozepur. Towards this end, the Liquidators wish to obtain professional advise on the various options available.

  4. The Govt. is of the opinion that the assets of the Cooperative Sugar Mills be sold as a "Composite Unit" so that the Mills could be re-run in the same premises. The Govt. decided that expert assistance needs to be obtained in order to achieve this objective.

  5. The Advisor to be appointed will carry out in-depth and thorough study of these Cooperative Sugar Mills.

  6. Following points may also be considered:-

    1. The Adviser will assess the present valuation of the assets of these Cooperative Sugar Mills matching with the existing market conditions and also the scenario prevailing in the sugar industry.

    2. The Adviser will also suggest the Reserve Price to be fixed for the sale of these mills.

    3. The Advisor will suggest the methodology to be adopted for disposal of assets of the Mills consistent with the Government objective as explained in Para-4 above.

    4. The Advisor will also suggest to the Liquidator/Government about the procedures to be followed for ‘one time settlement’ of the creditors for smooth sale/transfer of assets.

    5. The Adviser will also suggest the sale of these mills as a Composite Unit as well as separately for Plant & Machinery, Stores & Spares, Furnitures & Fixtures, land & buildings and other moveable assets.

    6. The reports of the Advisor regarding valuation of assets and proposals regarding methodology to be adopted for disposal of assets of the mills will be placed before the State Level High Power Committee constituted for reviewing the affairs of Cooperative Sugar Mills in the State of Punjab whose decision would be final. The Advisor would remain involved in the liquidation process till sale/transfer of these mills.

    Interested bidders may submit their Expression of Interest for this assignment by 16.09.2005 with the following details:

    1. Full particulars of the bidder, ownership and main business activities, presence in the country, including number of offices, manpower, funds deployed, period of operation etc.

    2. Audited balance sheets of last three years.

    3. Experience in the Sugar Industry and/or Cooperative Sector.

    4. Details of similar advisories provided/being provided to Government, Semi-Government or Cooperative Organisation.

    5. Details of deal team, including experience and qualifications as per format attached at Annexure-I.

    6. Time frame for the assignment.

    Payment of fee

    The Advisor shall be paid on "Success-Fee" basis. The financial bid should quote the percentage of the total sales realization or lump-sum that is to be charged as fee by the Advisor. The financial bid should also mention a lump sum amount to be charged as drop-dead fee in case the liquidator decides not to carry out the sale process in consultation with the Advisor. The payment of "Success-Fee" would be made within 30 days of the receipt of full sales consideration.

    Advisor Fee should include the following

    1. Travelling expenses for site visits & to attend the meetings required to complete the job.

    2. Costs of valuers/experts to be engaged for valuation and their traveling expenses.

    3. Costs of professional auctioneers to conduct the auction proceedings.

  8. Selection procedure:

    9. Firms/Companies who submit their EOIs will be pre-qualified on the basis of information provided by them. The pre-qualified parties will be asked to make a presentation before the Committee. On the basis of the presentation made by them, further pre-qualification may be done and the financial bids of those who are finally pre-qualified will be opened on the date of presentation itself, in their presence. The pre-qualified Advisor with the lowest financial bid will be engaged.

    The Committee reserves the right to withdraw from the process or any part thereof, to accept or reject any or all offers at any stage of the process and/or modify the process or any part thereof or to vary any terms at any time without assigning any reasons.
